General terms of business
B2B scope and contract precedence
These draft terms concern services ordered by professional clients from IPN. A signed framework agreement or specific contract prevails; this is the normal arrangement for multi-country contracts. The contracting legal entity must be identified in that agreement.
Proposals and orders
No prices are published online. A written proposal is required, defining scope, countries, deliverables, assumptions and conditions of acceptance. An order becomes binding only through the agreed written acceptance process.
Licensed local delivery
Security services are performed by the licensed independent member in each country, within its authorisations and the IPN standard agreed in the contract. Coverage and any approved partner involvement are confirmed country by country; IPN itself is not a certified entity.
Client cooperation and site safety
The client provides accurate site and risk information, lawful access, necessary permissions and safe working conditions. Responsibilities for site safety, instructions and material changes are documented in the contract. Experts may withdraw from an unsafe situation.
Invoicing and payment
The contract specifies whether IPN invoices the client or the country member invoices directly, together with currency, taxes, milestones and payment deadlines. [Late-payment interest and fixed recovery indemnity: legal amounts and conditions depend on the applicable law, to be completed by counsel.]
Liability, insurance and force majeure
Each delivering member must hold insurance appropriate to its country and mission, verified before commitment. Liability limits, exclusions, insurance evidence and force-majeure procedures are set in the contract subject to mandatory law. No universal liability cap is established by this draft.
Confidentiality and data protection
Confidential information is used only for the agreed purpose and shared only with authorised recipients. The privacy policy describes personal-data handling. Where IPN or a member acts as processor, a data processing agreement must define instructions, security, retention, subprocessors and lawful transfer safeguards.
Subcontracting and staff transfer
Subcontracting requires prior written approval and does not remove the agreed accountability chain. Any staff transfer is assessed and implemented under local law and applicable collective agreements, with country-specific legal advice and lawful information exchange.
Term, termination and continuity
The contract defines duration, renewal, notice, grounds for termination, remedies and transition obligations. Exit arrangements should preserve site continuity and provide lawful handover of records; this draft creates no automatic termination right or notice period.
Ethics, compliance and applicable law
Contract commitments cover anti-bribery, sanctions screening and respect for human rights; see the Compliance page for the founding framework and documents available on request. [Applicable law, jurisdiction and dispute-resolution process to be confirmed by counsel.] Contact: gora.ndao@gmail.com.
